BIOMEDCORE Inc., and it's affiliates (collectively referred to here as "BIOMEDCORE" or "we") provide their content on biomedcore.com website (the "Site") subject to the following terms and conditions ("Terms"). This document also details our privacy policy ("Policy") to explain how we collect, use and protect (or in some cases, do not protect), your personal information as you interact with us online through the "biomedcore.com" web site. This document grows from our fundamental respect for our users' and our own rights and will serve to guide our relationships with our users, members and subscribers. This document sets forth the conditions governing your use of the site and your use of BIOMEDCORE's systems and services, and is in addition to any executed agreements you may have with BIOMEDCORE. If you are using the site on behalf of your employer, you represent and warrant that you are authorized to accept and agree to these Terms and Policies on your employer's behalf, and that your employer agrees to indemnify you and BIOMEDCORE for violations of these Terms and Policies. You may also be subject to additional Terms and conditions that may apply when you use other BIOMEDCORE services, third-party content or third-party software. By posting anything to or otherwise accessing the Site or becoming our member, you indicate your acknowledgement and acceptance of these Terms and Policies. If you do not agree to all or any of the Terms and Policies contained in this document, do not use this Site in any manner and do not become a community member or continue your membership. This document may be changed by BIOMEDCORE at any time without notice. BIOMEDCORE will post any changes to the Terms or Policies on this page so that you are always aware of the current changes. Your continued use of the Site means that you have accepted the updated version. If any of the provisions of these Terms and Policies are determined to be invalid or unenforceable, then each invalid or enforceable provision will be construed in a manner consistent with applicable laws to reflect, as nearly as possible, the original intentions of the parties, and the remaining provisions shall remain in full force and effect. Any express waiver or failure to exercise promptly any right under the Terms or Policies will not create a continuing waiver or any expectation of non-enforcement. BIOMEDCORE's performance of this agreement is subject to existing laws and legal process, and nothing contained in this document is in derogation of BIOMEDCORE's right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the services or information provided to or gathered by BIOMEDCORE with respect to such use. You agree that any material breach of any section in this document will result in irreparable harm to BIOMEDCORE for which damages would be an inadequate remedy and, therefore, in addition to its rights and remedies otherwise available at law, BIOMEDCORE will be entitled to equitable relief, including both a preliminary and permanent injunction, if such a breach occurs. A printed version of this document and of any notices given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

All content and functionality on the Site, including text, graphics, logos, icons, and images and the selection and arrangement thereof, is the exclusive property of BIOMEDCORE or its licensors and is protected by U.S. and international copyright laws. All rights not expressly granted are reserved.

Trademarks

BIOMEDCORE's trademarks, service marks and trade dress (collectively, "Trademarks") are valuable intellectual property assets, and are registered and unregistered Trademarks of BIOMEDCORE and its licensers'. You agree that you will not refer to or attribute any information to BIOMEDCORE or its licensors in any public medium (e.g., press release, Web sites) for advertising or promotion purposes, or for the purpose of informing or influencing any third party and that you will not use or reproduce any Trademark of, or imply any endorsement by or relationship with, BIOMEDCORE or its licensors. Licensees of BIOMEDCORE and other third parties may be subject to additional use restrictions.

Nothing in this document gives you a right to use any BIOMEDCORE Trademarks and you agree that you (i) will not use any Trademarks alone, or in combination with other marks, terms or designs, in any manner that is likely to cause confusion, and (ii) will not acquire or use any domain names that incorporate any BIOMEDCORE Trademarks.

Content ownership

Content (defined below) used and displayed on the Site or available through BIOMEDCORE's services is the property of BIOMEDCORE, its licensors or other third parties who own the Content, and is protected by United States and international copyright, trademark, and other laws, unless in the public domain or otherwise made freely available by its owner. "Content" means any information, data files, text, music, audio files, photographs, videos, other modes of expression, or other materials or services provided by BIOMEDCORE on the Site including, without limitation, message boards, software, writings, graphics, and any and all other features found on the Site. In addition to BIOMEDCORE's and its licensor's or other third parties' rights in individual elements of the Content within the Site, BIOMEDCORE owns a copyright in the selection, coordination, arrangement and enhancement of such Content.

Except as expressly authorized in writing by BIOMEDCORE or by Content providers, you agree not to reproduce, modify, rent, lease, loan, sell, distribute, mirror, frame, republish, download, transmit, or create derivative works of the Content of others, in whole or in part, by any means. You must not modify, decompile, or reverse engineer any software BIOMEDCORE discloses to you, and you must not remove or modify any copyright or trademark notice, or other notice of ownership.

Unless BIOMEDCORE has entered into a separate written agreement with you that explicitly states to the contrary, you agree that any information, feedback, questions, comments or the like that you provide to BIOMEDCORE in connection with this Site or BIOMEDCORE's business ("Submissions") will be deemed to be provided to BIOMEDCORE on a non-confidential and non-proprietary basis and will become and remain the property of BIOMEDCORE. BIOMEDCORE shall have no obligations of any kind with respect to any Submissions and shall be free to reproduce, use, disclose and/or distribute any Submissions for any purpose whatsoever, without limitation. You also agree that BIOMEDCORE shall be free to use any ideas, concepts or techniques embodied in the Submissions for any purpose whatsoever, including, without limitation, developing, manufacturing, and marketing products or services incorporating such ideas, concepts, or techniques. No compensation will be paid with respect to the use of your Submissions.

This Site may provide links to other websites by allowing the user to leave this site to access third-party material or by bringing the third-party material into this site via "inverse" hyperlinks and framing technology (each a "Linked Site"). BIOMEDCORE has no discretion to alter, update, or control the content on a Linked Site. The fact that BIOMEDCORE has provided a link to a site is not an endorsement, authorization, sponsorship, or affiliation with respect to such site, its owners, or its providers. There are inherent risks in using, retrieving, or relying upon any information found on the internet, and BIOMEDCORE urges you to make sure you understand these risks before using, retrieving, or relying upon any such information from a Linked Site.

You acknowledge and agree that BIOMEDCORE is not responsible for the availability of such Linked Sites, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such Linked Sites. BIOMEDCORE will not be responsible or liable, directly or indirectly, for any actual or alleged damage or loss caused by or in connection with use of or reliance on any such content, goods or services available on or through any such Linked Site.

Those elements of the Site are protected by law, such as trade dress, trademark, unfair competition, and other laws and may not be copied or imitated in whole or in part unless expressly permitted by BIOMEDCORE in writing. No logo, graphic, sound or image from the Site may be copied or retransmitted unless expressly permitted by BIOMEDCORE in writing.

Your conduct as a user

Unless otherwise expressly provided in this document or elsewhere on this Site, the content and services on this Site are for your personal, informational, and non-commercial use, and you may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any such content or services without written permission from BIOMEDCORE.

As a user on BIOMEDCORE's Site, you will represent yourself accurately and truthfully at all times. You grant BIOMEDCORE the right to independently verify any information that you post on our Site about yourself, although BIOMEDCORE does not routinely undertake any verification. BIOMEDCORE reserves the right to constitute classes of users of the Site, granting access to certain areas of the Site only to certain users.

For services on the Site that require you to open an account, you must complete the registration process by providing true, current, complete and accurate information as prompted by the applicable registration form, and you will maintain and promptly update such information to keep it true, current, complete and accurate. You may also choose a password and a user name. You are responsible for maintaining the confidentiality of any password(s) you are given to access any part of the Site, and you are fully responsible for all activities that occur under your password(s). You agree to notify BIOMEDCORE immediately of any unauthorized use of your password(s). BIOMEDCORE will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by BIOMEDCORE or another party due to someone else using your account or password. You may not use anyone else's account at any time, without the permission of the account holder.

You agree not to upload, post or otherwise transmit via the Site any information that: (a) includes unauthorized disclosure of personal information; (b) is inaccurate, harmful, obscene, pornographic, defamatory, racist, violent, offensive, harassing, or otherwise objectionable to BIOMEDCORE or other users of the Site; (c) is hateful or is discriminatory based on race, color, sex, religion, nationality, ethnic or national origin, marital status, disability, sexual orientation or age; or (d) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment. In addition, you agreed not to harvest any email addresses from the Site for the purposes of sending email in violation of the law or these Terms and Policies.

You agree to indemnify, defend and hold BIOMEDCORE, and its subsidiaries, affiliates, officers, managers, members, agents, co-branders, partners, licensors, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party relating to or arising out of Your Information or Submissions you provide, your use of the Site, including any use by your employees, your connection to the Site, your violation of the Terms and Policies, or your violation of any rights of another.

Information provided by you

"Your Information" includes any information you provide to us, including, without limitation, any information you provide during registration, in any public message area, chat rooms, blogs, or public forum, surveys or through email feature.

You are solely responsible for your Information. We have no obligation to monitor the Site. We may, however, take any action we deem necessary and appropriate in our sole discretion if we believe your information creates a risk of liability to BIOMEDCORE. BIOMEDCORE may, at its sole discretion, remove or disable access to material on the Site that infringes on the rights of third parties or is otherwise harmful to BIOMEDCORE. BIOMEDCORE may also, at its sole discretion, Terminate your access to the Site at any time for any or no reason, with or without notice.

By posting your Information on or through the Site you automatically grant BIOMEDCORE a royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, transmit, translate, distribute, perform and display your information alone or as part of other works in any form, media, or technology whether now known or hereafter developed, and to sublicense such rights to others. You acknowledge that no compensation will be paid with respect to the use of your information. You agree to, and represent and warrant that you have proper authorization for, the worldwide transfer and processing among BIOMEDCORE, its affiliates and third-party providers of any of your information that you may provide to us. If you become a member of BIOMEDCORE, you acknowledge that your activities through that site are subject to all Terms and Policies in this document.

By placing any content on the Site that contains images, photographs, graphics or pictures ("Images"), you represent and warrant that: (a) you are the copyright owner of such Images, or that the copyright owner of such Images has granted you permission to use such Images or any content and/or images contained in such Images consistent with the manner and purpose of your use and as otherwise permitted by these Terms and Policies and the site; (b) you have the rights necessary to grant the licenses and sub-licenses described in this document; and (c) that each person depicted in such Images, if any, has provided consent to the use of the Images as set forth in this document, including, by way of example, and not as a limitation, the distribution, public display and reproduction of such Images.

You agree that you are solely responsible for (and that BIOMEDCORE has no responsibility to you or to any third party for) any content that you create, transmit or display while using this Site and for the consequences of your actions by doing so.You agree not to upload, post or otherwise transmit via the Site any information that violates or infringes anyone's intellectual property or other rights, including but not limited to copyrights, patents, trademarks and rights of publicity. BIOMEDCORE reserves the right (but shall have no obligation) to pre-screen, review, flag, filter, modify, refuse or remove any or all content .

This Site makes message boards, blogs, forums, personalized pages, chat rooms and other features available to its users and individuals who are clients or who sign up as members on its community page(s). Please remember that any information, photos or videos that are disclosed in public areas on the Site become public information and you should exercise caution when deciding to disclose your personal information or images. You may use an alias when posting personal information on the message boards.
Any information disclosed in public areas of the site will become public information. BIOMEDCORE cannot control the use of information disclosed in public forums, such as forums, blogs, bulletin boards, groups, or chat rooms. BIOMEDCORE with treat any postings by users, feedback, emails or suggestions to us as NON-CONFIDENTIAL and as NON-PROPRIETARY. If you choose to use your real name, it will be available to and viewable by anyone.

BIOMEDCORE does not claim ownership of anything that you post on or make available to others through the Site. You hereby grant to BIOMEDCORE a non-exclusive, worldwide, perpetual, transferable, irrevocable, sublicenseable, royalty-free right and license to access, use, reproduce, store, modify, distribute, publicly display, publicly perform and create derivative works of anything that you post on or make available to others through the Site, for operating the Site and continuing to make it available to the public, in whole or in part, and also for internal business purposes. You understand that anything that you post on or make available to others through the Site may remain on the Site, in whole or in part, even after your membership terminates.

BIOMEDCORE will investigate notices of copyright infringement and take appropriate actions. BIOMEDCORE reserves the right to remove or disable access to any material posted to the Site. It is BIOMEDCORE's Policy, in appropriate circumstances, to terminate accounts or personal pages of repeat infringers.

To be effective, the notification must include substantially the following: 1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. 2. Identification of the copyrighted work claimed to have been infringed, or a representative list of such works if there are multiple works. 3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit the service provider to locate the material. 4. BIOMEDCORE reserves the right at all times to disclose any information as BIOMEDCORE deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in BIOMEDCORE's sole discretion.

Your interactions with other members are solely between you and the other member. If there is a dispute between you and another member, BIOMEDCORE is under no obligation to become involved. BIOMEDCORE reserves, however, the right to terminate the interaction or any membership or access to any Services.

BIOMEDCORE reserves the right to terminate your access to the Site for any reason or for no reason and at any time, without notice. BIOMEDCORE further reserves the right to delete, destroy and deny access to any messages, information or materials of any kind that you have posted to the Site, including to any blog postings and any page established under the "my page" feature of this Site, for any reason or for no reason and at any time, without notice.

Your information collected by BIOMEDCORE and its use

BIOMEDCORE and its authorized service providers collect information about users during their registration for our various subscription lists, their participation in certain activities on our web site, their purchase of products or services through the site, and through the use of cookies. When users request pages from our server, our web server automatically collects some information about the users, including their IP addresses. These IP addresses are used by computers to send the requested pages to users.

If a user wishes to subscribe to our mailing list and/or newsletter, we collect and retain contact information such as name, email and mailing address. We may also collect and retain information regarding the types of information or topics that are of interest if we are provided with that information, as well as identification of which communications our users wish to receive. In addition, we may collect and retain messages and materials of any kind posted by BIOMEDCORE members, and information about such messages and materials.

BIOMEDCORE does not knowingly collect or solicit personal information from anyone under the AGE OF 13 or knowingly allow such persons to register. If you are under 13, you should not attempt to register for this site or send information about yourself to us, including your name, address, telephone number, or email address. No one under age 13 may provide any personal information to or on the site. If a child under 13 submits information through any part of the site without verification of parental consent, and we learn the person submitting the information is a child or such consent has not been verified, we will attempt to delete this information as soon as possible. Because we do not knowingly collect any personal information from children under 13, we do not use or disclose such information to third parties.

Except as disclosed to you or as otherwise described in this document, as may be amended from time to time, BIOMEDCORE will not share any personally identifiable information that subscribers or web site users provide to us with any third party for their direct marketing purposes. BIOMEDCORE will disclose info to the extent necessary to comply with applicable laws or legal processes (e.g., subpoenas). We will cooperate with law enforcement authorities. BIOMEDCORE may share your personal information where it is necessary for us to complete a transaction or do something that you have asked us to do.

BIOMEDCORE uses visitors' IP addresses to help diagnose problems with our server and to administer our Web site. We also use them to gather broad demographic information about our users in general. This information does not contain anything that can identify users personally. We may combine demographic information supplied by a subscriber at registration with site usage data to provide profiles, in aggregate form, about our users and their preferences in the content of the site and advertising.

BIOMEDCORE may send out e-mail and mail to our subscribers about services and products offered by BIOMEDCORE and our partners. BIOMEDCORE may work with service providers to assist with these mailings, and these service providers may have access to your personally identifiable information. Third parties will not contact our subscribers through the use of our e-mail and mailing lists except through our own emails or newsletters that may contain messages from our partners within the email and/or mail themselves, or unless users ask to be placed on a list to receive e-mail and/or mail from our partners on subjects of interest.

BIOMEDCORE operates in many countries, circumstances could arise where it is necessary for us to make your personal information available to our worldwide business units. Privacy laws differ across the globe. If we share your information with a BIOMEDCORE affiliate or business unit that is outside of Canada, we will do so consistent with this Policy.

This site is hosted in the United States and is controlled by BIOMEDCORE from its offices within Canada. If you are visiting from the European Union or other regions with laws governing data collection and use that may differ from United States or canadian law, please note that you are transferring your personal data to the United States and Canada by providing your personal data you consent to that transfer. When you provide personal data to BIOMEDCORE or our service providers or vendors, you consent to the processing of your data in the United States as the site is operated in the United States.

The laws applicable to the interpretation of these Terms and Policies shall be the laws of the State of Ontario, Canada, and applicable federal law, without regard to any conflict of law provisions.

BIOMEDCORE makes no representation that the content in this Site is appropriate for access outside of the United States or Canada. Those who choose to access this Site from outside the United States do so on their own initiative and are responsible for compliance with local laws.

Few additional details

To request that we remove your personally identifiable information from our database or to "opt-out" of any further e-mail or contact, send request to info@biomedcore.com. BIOMEDCORE will make a good faith effort to comply with such written requests within thirty days of receipt of the request.

BIOMEDCORE is not responsible for the content or the privacy polices of web sites to which it may provide links or the web sites of its advertisers or affiliates. BIOMEDCORE uses reasonable precautions to keep the personal information disclosed to us secure and to disclose such information only to responsible third parties. Please note that BIOMEDCORE makes no guarantee that information provided to us will not be accessed, disclosed, altered or destroyed by breach of firewalls or secure server software. BIOMEDCORE is not responsible for circumvention of any privacy settings or security measures contained on the site. If there is a breach of security that impacts your personally identifiable information, you agree that BIOMEDCORE may notify you of the breach by electronic mail using any email address that you have provided to us for you.

If BIOMEDCORE should ever file for bankruptcy or merge with another company, or if we should decide to buy, sell or reorganize some part or all of our business, BIOMEDCORE may disclose your personally identifiable information to prospective or actual purchasers or receive such information from sellers. BIOMEDCORE intends to seek appropriate protection for information disclosed or received in these types of transactions.

Collaboration and outsourcing

BIOMEDCORE collaborates and outsources some of its research to a few universities and companies on a Pay-Per-Service basis. It is in the company policy to not pay for indirect costs. We do however share research findings and scientific publications that come out of the collaboration.

YOU AGREE THAT BIOMEDCORE, ITS AFFILIATES AND ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL NOT BE LIABLE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE FOR ANY INDIRECT, PUNITIVE, CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST WAGES, OR LOST OPPORTUNITY) ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SITE OR A LINKED SITE, OR WITH THE DELAY OR INABILITY TO USE THE SITE OR A LINKED SITE, EVEN IF BIOMEDCORE IS MADE AWARE OF THE POSSIBILITY OF SUCH DAMAGES.
